Please read these Terms of Service carefully before using iCirus services. By accessing or using any iCirus service, you agree to be bound by these terms. If you do not agree, do not use our services.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", "your") and iCirus Technologies ("iCirus", "we", "us", "our"). By creating an account, placing an order, or using any iCirus service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any applicable Service Level Agreements.
If you are entering into these Terms on behalf of a company or organization, you represent and warrant that you have authority to bind that entity to these Terms.
iCirus provides enterprise infrastructure and managed technology services including but not limited to:
Services are provided as described in your service order, proposal, or applicable Service Level Agreement. iCirus reserves the right to modify, suspend, or discontinue any service with reasonable notice.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify iCirus of any unauthorized access or security breach at security@icirus.com.
You agree to provide accurate, current, and complete information when registering and to keep your account information updated. Providing false information may result in immediate termination of your account.
You are solely responsible for all content, data, and activities conducted through your account. You must ensure all authorized users comply with these Terms.
You agree NOT to use iCirus services to:
Violation of this policy may result in immediate service suspension without refund and may be reported to appropriate law enforcement authorities.
All fees are as stated in your service agreement or order confirmation. Recurring services are billed in advance. iCirus reserves the right to update pricing with 30 days' notice for existing clients.
Invoices are due within 14 days of issue unless otherwise agreed in writing. Overdue accounts may incur a late payment fee of 1.5% per month on outstanding balances.
Services may be suspended after 7 days of non-payment following the due date. Suspended services may be terminated after 30 days with potential data loss. Reinstatement may require payment of all outstanding amounts plus a reinstatement fee.
Setup fees and domain registrations are non-refundable. Monthly service fees are non-refundable once the billing period has commenced. Annual prepaid services may be eligible for a prorated refund within the first 30 days.
iCirus commits to a 99.99% uptime SLA for core infrastructure services. In the event of downtime exceeding the SLA threshold, clients are eligible for service credits as follows:
Credits are the sole remedy for SLA breaches. Scheduled maintenance windows, force majeure events, and client-caused outages are excluded from SLA calculations.
All iCirus software, systems, branding, documentation, and intellectual property remain the exclusive property of iCirus Technologies. Nothing in these Terms grants you any ownership rights in iCirus intellectual property.
You retain all rights to your data and content. By using our services, you grant iCirus a limited license to process your data solely for the purpose of delivering the services.
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed in connection with the services. This obligation survives termination of these Terms for a period of 5 years.
To the maximum extent permitted by applicable law, iCirus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use our services.
iCirus's total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to iCirus in the three months preceding the claim.
You agree to indemnify, defend, and hold harmless iCirus, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from: (a) your use of the services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or data you submit through the services.
Either party may terminate services by providing 30 days' written notice. iCirus may terminate immediately for material breach of these Terms, illegal activity, or non-payment. Upon termination, you must cease use of all services and iCirus may delete your data after a 30-day grace period.
These Terms shall be governed by the laws of Ontario, Canada, without regard to conflict of law principles. For international clients, disputes shall first be attempted through good-faith negotiation, then mediation, and finally binding arbitration under the rules of the Canadian Arbitration Association.
iCirus may update these Terms at any time. Material changes will be communicated via email and posted on our website with at least 30 days' notice. Continued use of services after changes take effect constitutes acceptance of the updated Terms.
